Terms of Use
These Terms of Use ("Terms") form a binding agreement between you and OPPSNETS Global Academy & Consulting, LLC, operator of ScanWink. By creating an account, purchasing a plan or digital product, or accessing or using the Services, you agree to these Terms and our Privacy Policy and Refund & Cancellation Policy. If you do not agree, do not use the Services.
1. Eligibility and accounts
You must be legally capable of entering into this agreement. The Services are not directed to children under 13. If you use ScanWink on behalf of a company or organization, you represent that you have authority to bind that entity. You are responsible for accurate account information, maintaining credential confidentiality, and activity under your account.
2. The Services
ScanWink provides tools for generating, designing, saving, managing, displaying, analyzing, and exporting QR codes, barcodes, business cards, receipts, creator profiles, and related digital assets. Features and limits vary by plan and may change as the Services evolve.
3. Free allowances, paid plans, and feature limits
Free accounts may be limited by saved assets, downloads, analytics, templates, exports, or other usage limits displayed in the Services. Paid plans provide additional features and limits according to the plan shown at purchase. Attempting to bypass technical, billing, watermark, access, usage, or export controls is prohibited.
4. Subscriptions, purchases, taxes, and billing
Paid subscriptions automatically renew until canceled as disclosed at checkout. One-time digital products are charged once. You authorize our payment processor to process applicable charges, taxes, and recurring payments. Prices and plan features may change prospectively. Billing, refund, and cancellation details are described in our Refund & Cancellation Policy.
5. Your content and responsibility
You retain ownership of content you submit, subject to the rights needed for us to operate the Services. You grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, process, display, transmit, resize, and otherwise use your content solely as reasonably necessary to provide, secure, improve, and support the Services.
You are solely responsible for your content, QR destinations, links, product identifiers, receipt information, business information, claims, permissions, and legal compliance. You must have the necessary rights to logos, photos, trademarks, names, and other material you upload or publish.
6. Prohibited uses
You may not use ScanWink to facilitate phishing, credential theft, malware, fraud, deceptive redirects, impersonation, spam, unlawful surveillance, infringement, illegal goods or services, exploitation, harassment, threats, or other unlawful or harmful activity. You may not interfere with the Services, probe or bypass security, automate abusive requests, scrape protected areas, resell access contrary to your plan, or use the Services to mislead recipients about the source or authenticity of content.
7. QR destinations and safety
Managed QR destinations may be suspended or disabled if we reasonably believe they create legal, security, fraud, malware, phishing, reputational, or user-safety risk. You are responsible for verifying destinations before printing or distributing codes and for maintaining destination content and permissions.
8. Barcodes and identifiers
ScanWink can render barcode graphics from information supplied by you. Unless expressly stated otherwise, ScanWink does not issue, license, register, validate ownership of, or guarantee acceptance of UPC, GTIN, GS1, ISBN, or other third-party identifiers. You are responsible for obtaining any identifier or registration required by a retailer, standards body, marketplace, regulator, or trading partner.
9. Receipts and business documents
Receipt and document tools format information supplied by the user. A ScanWink-generated receipt does not independently verify that a sale, payment, tax event, refund, or other transaction occurred and must not be used to fabricate evidence, deceive a third party, or misrepresent an actual transaction.
10. Printing and technical verification
Screen appearance can differ from printed output. You are responsible for scanning, testing, proofreading, and verifying QR codes, barcodes, dimensions, text, colors, links, and files before mass printing, manufacturing, publishing, or distribution. We are not responsible for printing, packaging, manufacturing, signage, advertising, or other downstream costs caused by failure to test output.
11. Intellectual property
ScanWink software, site design, trademarks, branding, documentation, and original materials are owned by or licensed to OPPSNETS Global Academy & Consulting, LLC and protected by applicable intellectual-property laws. Third-party names and logos remain the property of their respective owners. Display of a third-party social-media logo is for identification and interoperability and does not imply sponsorship or endorsement.
12. Third-party services
The Services may integrate with or link to third parties, including payment processors and social platforms. Third-party services are governed by their own agreements and may change, suspend, block, or discontinue functionality independently of ScanWink.
13. Availability, changes, and suspension
We may modify, improve, discontinue, restrict, or suspend features when reasonably necessary for security, legal compliance, maintenance, product development, third-party changes, or abuse prevention. We do not guarantee uninterrupted or error-free availability.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT GUARANTEE SEARCH RANKINGS, SALES, REVENUE, SOCIAL-MEDIA PERFORMANCE, QR-SCAN VOLUME, BARCODE ACCEPTANCE, PRINT QUALITY, OR BUSINESS RESULTS.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPPSNETS Global Academy & Consulting, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, PRINTING COSTS, OR BUSINESS INTERRUPTION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SCANWINK DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100. Some jurisdictions do not permit certain limitations, so some provisions may not apply to you.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless OPPSNETS Global Academy & Consulting, LLC and its affiliates, officers, employees, contractors, and providers from claims, losses, liabilities, damages, costs, and reasonable legal fees arising from your content, destinations, misuse of the Services, violation of these Terms, violation of law, or infringement of another party’s rights.
17. Termination
You may stop using the Services at any time. We may suspend or terminate access for material Terms violations, fraud, abuse, security threats, unlawful activity, nonpayment, or where required by law. Provisions that by their nature should survive termination will survive, including intellectual property, payment obligations, disclaimers, limitations, indemnification, and dispute terms.
18. Governing law and disputes
Except where non-waivable consumer law requires otherwise, these Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Subject to applicable consumer rights, courts located in Harris County, Texas will have exclusive jurisdiction over disputes that are not otherwise resolved by agreement.
19. Changes to these Terms
We may update these Terms as the Services or legal requirements change. The effective date at the top identifies the current version. If a change materially affects existing paid rights or obligations, we will provide notice when required by applicable law.
